Account Agreement and Terms

The submitting this application (the "Undersigned") acknowledges and agrees to the following:

1. This Account Agreement and Terms ("Agreement") supersedes, with respect to rentals made subsequent to the acceptance of this application by Dependable Lift Rentals, Inc. ("Dependable"), any prior Account Agreement and Terms governing the extension of credit by Dependable to the Undersigned. Rentals by Dependable to the Undersigned made subsequent to the acceptance of this application by Dependable shall be governed by the Rental Contract pertaining to such rental and by this Agreement. In the event that any provisions of the Rental Contract shall conflict with any provision of this Agreement; the Rental Contract shall control.

2. The receipt of an application shall not create any obligation on the part of Dependable to rent or sell equipment to the undersigned or to extend credit to the undersigned in connection with any such rental or sale.

3. ALL RENTALS REQUIRE CREDIT CARD AUTHORIZATION AT THE TIME OF RENTAL.

4. This form does not validate any tax. All tax exemption documentation must be submitted to Dependable rentals for validation prior to any sale or rental.

5. Any and all obligations arising under a Rental Contract, including without limitation, the obligation to pay for all Charges associated with or arising from a rental transaction shall be governed by the terms of the Rental Contract and the Choice of Law provision set forth therein. To the extent any rights or obligations hereunder are not addressed by the Rental Contract, this Agreement shall be governed and construed by the laws of the STATE of WYOMING, without regard to any conflict or choice of laws principals. if any provision or pan of any provision of this Agreement conflicts with any applicable law then that provision will be deemed to be modified to be consistent with such law, or to be deleted if modification is impossible, and will not affect the remainder of this Agreement, which will continue in full force and effect. If any provision of this Agreement is held to be so broad as to be unenforceable, then that provision will be interpreted to be only as broad as is necessary for it to be enforceable.

6. The Undersigned recognizes that it may from time to time be owed money by Dependable due to contracts or transactions between the Undersigned and Dependable which are separate and distinct for the rentals contemplated by this Credit Application and Agreement. Dependable shall have the right to withhold from the Undersigned any monies owed by Dependable to the Undersigned in connection with any such other contracts or transactions and to offset the same against any sums owed by the Undersigned to Dependable in such amounts as may be deemed by Dependable to be reasonably necessary to cover such indebtedness of the Undersigned. So long as this right of withhold and offset is carried out in good faith, the Undersigned hereby waives any claims against Dependable for any consequential damages coming from such withhold and offset even if it is later determined that the withhold and offset was improper.

7. THE UNDERSIGNED HEREBY WAIVES THE RIGHT TO A JURY TRIAL OF ANY OR ALL CLAIMS OR DISPUTES WHICH MAY ARISE AFTER ACCEPTANCE OF THIS APPLICATION BY Dependable IN CONNECTION WITH THIS AGREEMENT OR ANY RENTAL CONTRACT BETWEEN THE UNDERSIGNED AND Dependable.

8. The terms of this Agreement may be revised or supplemented from time to time by Dependable sending the Undersigned notice of such changes. It will be presumed that the Undersigned has received any such notice mailed to the Undersigned at the address shown on this Application or otherwise provided to Dependable.

9. Dependable Rentals, Inc. reserves the right to file preliminary notices for work done in the states where those notices are required by state law in order to protect our Lien Rights.

10. THE UNDERSINGED ATTESTS TO HAVING VALID AND CURRENT INSURANCE AT THE TIME OF RENTAL AND INTENDS TO EXTEND COVERAGE TO ALL RENTALS. INSURANCE COVERAGE MUST BE APPROPRIATE AND ADEQUATE FOR THE TYPE OF VEHICLE OR EQUIPMENT RENTED IN COMPLIANCE FOR ADIQUATE COVERAGE NEEDED BY LOW FOR THE ASSOCIATED VALID DRIVERS LICENSE TO THIS RENTAL AND IN ACCORDANCE WITH THE LAWS OF THE STATE WHICH THE VEHICLE TRAVELS.

11. At the time of rental, the renter or authorized driver may be subject to an electronic DMV check and additional consumer or commercial investigation for the purposes of preventing fraud.

DEPENDABLE LIFT RENTALS, INC.

RENTAL AGREEMENT

1. Contract Term: The term of the Contract shall begin on the Effective Date and shall continue until terminated by either party ("Term") by providing written notice to the other party of such intent; termination to be effective fifteen (15) days from the date notice is received except that this Contract shall remain effective through the completion of all rentals outstanding as of the date this Contract would otherwise terminate.

2. Equipment Description: The Equipment to be rented for any Rental under this Contract is described in the sales order(s) ("Sales Order") and invoice(s) ("Invoice") sent to Customer via email from Dependable Lift Rentals, which, as they arise, are to be incorporated herein by this reference and made a part hereof.

3. Rental Rate and Period: The Customer's initial charges ("Initial Charges") for any rental of Equipment will consist of (i) a base rent ("Base Rent") estimated upon the Customer's representation of the estimated rental period ("Estimated Rental Period"); (ii) delivery and pickup charges which rates vary by area and Equipment. The Base Rent covers use for one shift being not more than: (i) eight (8) hours per day, (ii) forty (40) hours per week, and (iii) one hundred sixty (160) hours per twenty-eight (28) days unless otherwise noted.

4. Additional Rent: Customer may incur additional rental charges ("Additional Rent") as a result of: (i) an extension of the Estimated Rental Period, (ii) additional use(s) beyond One Shift or meter overage, (iii) delayed pick-up of Equipment due to fault of Customer, and (iv) period of time for receipt of Customer payment for repair damage to Equipment.

5. Additional Charges and Fees: Customer is responsible to pay upon billing: (i) re-delivery or moving fees; (ii) driver waiting fees; (iii) "Dry Run" fees when Equipment is not accessible for pickup, (iv) toll charges; (v) fuel surcharge; (vi) fuel used during rental that is not refilled at up to $13.99/gallon; (vii) cleaning fees; (viii) fees for lost keys; and other applicable charges.

6. Payment Without Offsets: Customer shall pay the Initial Charges, Additional Rent and Additional Charges without any offsets, deductions or claims and Customer agrees to notify Dependable Lift Rentals in writing of any dispute(s) within 10 days of Customer's receipt of Invoice.

7. Method of Payment: Unless Dependable Lift Rentals extends credit to Customer, payment for Initial Charges is required prior to Equipment delivery. Customer gives authorization to charge credit card for any Additional Rent and/or Additional Charges incurred.

8. Rental Protection Plan: The Rental Protection Plan ("RPP") is not insurance nor warranty. It limits liability for loss or damage to Equipment with deductible of $1,000 if Equipment value is $25,000 or less, or $2,500 if Equipment value is greater than $25,000. RPP excludes vandalism, theft, striking overhead objects, overloading, and other specified conditions.

9. Delivery of Equipment: Any apparent employee or agent at the delivery address ("Jobsite") will be considered as authorized to accept delivery of Equipment and if Customer requests and Dependable Lift Rentals agrees, Customer can authorize Equipment to be left at the place of delivery without requirement of a written receipt.

10. Customer Inspection and Waiver: Customer warrants and represents that Customer will have inspected Equipment upon delivery to confirm that it is in good condition, safe and serviceable, without defects, including readable decals and operating and safety instructions, and is suitable for Customer's intended use.

11. Customer Use: Customer acknowledges and agrees that Dependable Lift Rentals has no control over the manner in which Equipment is operated during the Actual Rental Period and that Equipment may be dangerous if used improperly or by untrained parties.

12. Customer Maintenance: Customer shall keep Equipment in good working condition and perform at its expense, routine, but not scheduled, maintenance and cleaning of Equipment including routine inspections and maintenance of fuel and oil levels, lubricants, lubrications, leaks, cooling system, water, batteries, filters, cutting edges, belts, hoses and cleaning.

13. Malfunctioning Equipment and Replacement: Should Equipment malfunction or require repair, Customer shall cease use of Equipment and notify Dependable Lift Rentals immediately. If such condition is the result of normal operation or inherent defect, Dependable Lift Rentals will cause Equipment to be promptly repaired or replaced with similar Equipment in good working order.

14. Operated & Maintained Equipment: If Rental is for operated and/or maintained Equipment, Dependable Lift Rentals shall provide to Customer one or more persons experienced in operating and maintaining the Equipment, which Operator shall at all times operate and maintain the Equipment under the direction and control of Customer.

15. Lifting Lugs, Rigging and Apparatus: Customer hereby assumes all responsibility and liability for the adequacy of design and strength of any Lifting lug or device embedded in or attached to any object, and any and all rigging and Lifting apparatus.

16. Customer's Responsibilities for Extension and Pick-up: Unless requested otherwise, for a prepaid Rental, if Customer would like to extend the Estimated Rental Period, Customer must contact Dependable Lift Rentals at least four (4) business hours before the scheduled end date and time listed on the Sales Order, during normal business hours.

17. Communications from Customer: Dependable Lift Rentals will make a commercial effort to act upon instructions delivered to Dependable Lift Rentals by Customer or an apparent authorized representative in any form, including in person, by phone, text message, electronic mail, EDI, and via Dependable Lift Rentals's online platform or website.

18. Condition of Equipment Upon Return: Customer will return Equipment together with all accessories, free from all damage, and in the same condition and appearance as when received by Customer, allowing for ordinary wear and tear ("Rental Ready").

19. Surrender/Abandonment: Any equipment or belongings of Customer or its employees remaining with, in or on Equipment upon return do not constitute a bailment and shall be deemed abandoned and surrendered by the Customer/employees to Dependable Lift Rentals.

20. Right of Inspection and Retrieval of Possession: Customer has the authority to and hereby grants Dependable Lift Rentals or its designee the right, at all times, to enter the physical location of Equipment to inspect Equipment and immediately repossess and remove Equipment without legal process.

21. No Sale or Security Interest Intended: This Contract constitutes a rental lease or bailment of Equipment to Customer as a bailee and is not a sale or the creation of a security interest.

22. Encumbrances or Liens: Customer will not pledge, encumber, create a security interest in, permit any levy, writ or lien, or suffer an involuntary transfer of Customer's interest in this Contract by operation of law.

23. Notification of Loss/Damage: If Equipment is damaged, lost, stolen, unsafe, disabled, malfunctioning, levied upon, threatened with seizure, or if any other incident concerning Equipment occurs including injury to person or property ("Occurrence"), Customer will immediately notify Dependable Lift Rentals.

24. Customer's Duty to Insure: Customer must at its own expense procure and maintain at all times during the Term, the following minimum insurance coverage: (a) general liability insurance of not less than $1,000,000 per occurrence; (b) rented/leased Equipment insurance against loss by all risks; (c) worker's compensation insurance as required by law; and (d) automobile liability insurance if Equipment is used on roadways.

25. Disclaimer of Warranties: DEPENDABLE LIFT RENTALS DOES NOT MAKE NOR GIVE, AND HEREBY DISCLAIMS, ANY EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, OR REPRESENTATIONS TO ANY MATTER WHATSOEVER, INCLUDING THE CONDITION OF EQUIPMENT, ITS MERCHANTABILITY, OR ITS FITNESS FOR ANY PARTICULAR PURPOSE.

26. Customer Liability and Indemnity: Customer assumes all risk and liability for (i) the loss of or damage to Equipment, (ii) the loss of use and rental income, (iii) the death of or injury to any person or equipment, and (iv) all other risks and liabilities arising from the Customer's acceptance, possession, transport, use, operation, control, storage, maintenance and/or repair of Equipment.

27. Customer in Default: Customer shall be in default upon (i) any breach of this Contract, (ii) becoming insolvent, (iii) Dependable Lift Rentals's good faith belief Customer has placed Dependable Lift Rentals's interest in Equipment at risk, or (iv) dissolution.

28. CRIMINAL WARNING: The use of false identification to obtain Equipment or the failure to return the Equipment by the end of the Rental Period may be considered a theft subject to criminal prosecution pursuant to applicable criminal or penal code provisions.

29. Dependable Lift Rentals's Rights and Remedies: Upon Customer's default, the balance of all unpaid Base Rent, Additional Charges and Other Charges of any kind required of Customer under the Contract are deemed payable immediately, in which event Dependable Lift Rentals will be entitled to the balance due together with interest at the rate of 1.5% percent per month.

30. Dependable Lift Rentals in Default: Dependable Lift Rentals shall not be in default based on a breach of this Contract until it has a reasonable time to cure the basis for the default. In no case is Dependable Lift Rentals liable due to seizure of Equipment by order of governmental authority or any force majeure.

31. Limitation of Dependable Lift Rentals Liability: To the maximum extent permitted by applicable law and excepting willful misconduct by Dependable Lift Rentals, Dependable Lift Rentals shall not be liable to Customer under any legal theory for any direct or indirect loss, incidental, exemplary, consequential or statutory damages.

32. Service of Notice: Any notices or other communications required or permitted by this Contract will be in writing and will be deemed duly served when personally delivered or deposited in the United States mail, first-class postage prepaid, addressed to Customer address listed on Invoice or to Dependable Lift Rentals at 312 W 2nd St Unit #A4029 Casper, WY 82601.

33. Assignment: Dependable Lift Rentals may assign this Contract or any rights under it at any time without Customer's consent. Customer will not sublease, sub-rent, assign or loan Equipment, or assign any interest in this Contract.

34. Entire Agreement: This Contract, including the Sales Order and/or Invoice during the Term constitute the entire agreement between the parties. No agreements, representations, or warranties other than those specifically set forth in this Contract will be binding on any of the parties.

35. MANDATORY ARBITRATION: Except as provided in Paragraph 36, if a dispute arises from or relates to this Contract or a breach of it, the parties agree the dispute shall be settled by arbitration and judgment of the reasoned award rendered by the arbitrator may be entered in any federal or state court having jurisdiction thereof.

36. Collection Proceedings: Dependable Lift Rentals reserves the right to collect any outstanding monies owed it by means of debt collection through a debt collection agency prior to proceeding to arbitration and by doing so, does not waive its right to arbitrate.

37. Contract Survives Partial Invalidity: If any provision of this Contract or the application of any of its provisions to any party or circumstance is held invalid or unenforceable, the remainder of this Contract will remain valid and in full force and effect.

38. Terms Survive Contract: All terms and provisions of this Contract that should by their nature survive the termination, regardless of reason, of this Contract shall so survive, including but not limited to Paragraphs 19, 22, 25, 34 & 35.

39. Communication Authorization: Customer consents to the collection, use and disclosure of data and information Customer voluntarily provides to Dependable Lift Rentals and receipt of marketing emails from Dependable Lift Rentals and its affiliates as described in the Privacy Policy found at https://www.DependableLiftRentals.com/privacy-policy.

40. Original Signature Equivalents: Digital, electronic, photocopy and faxed signatures hereon shall be deemed the equivalent of originals.

41. TERMS AND CONDITIONS UPON REQUEST: A Larger Print Version of this Contract with its terms and conditions is available from Dependable Lift Rentals upon written request.

The undersigned represents and warrants s/he is of legal age and has the authority and power to sign this Contract and understands that this Contract is valid and enforceable once executed by Customer.
